Replacing Jim Cain

Now that Jim Cain got away from us, God rest his soul, how will his seat be filled? Will an appointment be made at the Biennial? Will it be left open until the next election? How is this usually handled and what do the by laws say about it?

Inquiring minds want to know.

I was hoping that someone from the Nominating Committee, or maybe even the President, would address your very valid question, but since that doesn't seem to be happening, I'll take a stab at it... Whenever a Director position opens up, the President can propose someone to serve out the remaining time and the BOD would then vote. Or simply leave the seat open. In the case of Jim Cain, Central USA (TX, LA) was already over represented on the BOD by one Director, so there's technically no "need" to "replace" Jim (as if he COULD be replaced, but that's another story...).
